IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12. Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and judgment on the arbitration award may be entered in any court having jurisdiction.

Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between you and us individually. You agree to waive any right to have any dispute brought, heard, or arbitrated as a class action, collective action, or representative action.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after any changes indicates your acceptance of the new Terms.

If you do not agree to the modified Terms, you must stop using the Services.

14. General Provisions

Entire Agreement

These Terms constitute the entire agreement between you and Soup Joumou Interactive LLC regarding the Services and supersede all prior agreements and understandings.

Waiver

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

16. App Store Terms

If you access our Services through a mobile application from the Apple App Store or Google Play Store, you acknowledge and agree that:

• These Terms are between you and Soup Joumou Interactive LLC, not with Apple Inc. or Google LLC
• Apple and Google are not responsible for the Services or content
• Apple and Google have no obligation to provide maintenance or support services
• Apple and Google are not responsible for any warranty claims
• You must comply with applicable third-party terms when using the Services
